     If you pay with a credit card,  your user name(s) and password(s) will be e-mailed to you automatically 24 hours after the approval of your registration.  If you pay by check allow 48 hours after the deposit has been made.

Subscription Contract

MAQUILAPORTAL Subscription and License Agreement for MEMBERS

 This Agreement governs the following: Your access to and use of the content ("The Content") in the MAQUILAPORTAL website Mexico’s Maquila Information Center under the world wide web domain www.maquilaportal.com property of Servicio Internacional de Informacion, S.A. de C.V., the use of the searching and linking tools provided by MAQUILAPORTAL, and the purchase and use of other MAQUILAPORTAL products or services, all of the above collectively referred to as "The Service" . PLEASE READ THIS AGREEMENT CAREFULLY BEFORE SUBSCRIBING AND USING THE SERVICE. BY SUBSCRIBING TO OR USING THE SERVICE, YOU AGREE TO BE BOUND BY ALL OF THE TERMS IN THIS AGREEMENT. IF YOU DO NOT AGREE TO BE BOUND BY ALL OF THE TERMS IN THIS AGREEMENT, DO NOT SUBSCRIBE TO OR ACCESS THE SERVICE. Please print and keep copies of this Agreement.

PASSWORDS
This Agreement, and your password, are personal to you, and you may not reveal, sale, lease or in any way assign this Agreement or your password to anyone. You are responsible for the confidentiality of your password and for all charges incurred using your password. If you become aware of any unauthorized use of your password or if it is lost or stolen, you agree to notify MAQUILAPORTAL Members’ Service immediately. To prevent the unauthorized use of your password we recommend that you change it periodically.

PAYMENT
You agree to pay, within 15 calendar days after receipt of an invoice, all fees and charges for The Service, at the rates then in effect for your subscription plan or purchase order, plus applicable taxes. All fees are nonrefundable. MAQUILAPORTAL may charge late fees on overdue accounts, at an annual rate of 12 % if the invoice is in US currency dollars or at an annual rate of 30 % if the invoice is in Mexican pesos. You agree to pay all costs (including, without limitation, reasonable attorneys’ fees) MAQUILAPORTAL may incur in the collection of any overdue amounts.
Payment should be made in the form agreed upon with MAQUILAPORTAL. If payment is made through credit card, debit card or direct debit, you hereby authorize MAQUILAPORTAL to charge all fees and charges for The Service to your credit card, debit card or to your direct debit account.

LIMITATIONS ON USE
The Service and The Content are property of MAQUILAPORTAL or its sponsors, advertisers and licensors, and are protected by applicable copyright and intellectual property laws. Content may be stored in memory on your personal computer, manipulated, analyzed, reformatted, displayed and printed for your personal and noncommercial use only. All commercial uses are prohibited. Unless you obtain the express prior written consent of MAQUILAPORTAL, you agree not to produce, retransmit, disseminate, distribute, publish, broadcast or sell any Content to anyone, including, but not limited to, others in your company or organization. Except that, you may, from time to time, disseminate an insubstantial portion of The Content, for a noncommercial purpose and without charge, to a limited number of employees in the same company or organization, provided you include all copyright and other propietary notices with such portion of The Content in the same form in which the notices appear in The Service. Unless you obtain the express prior written consent of MAQUILAPORTAL, you also agree no to disassemble, decompile, reverse engineer, alter, distribute, transfer, reproduce, sell or license any part of The Service.

DISCLAIMER OF WARRANTIES AND LIABILITY
DUE TO THE NUMBER OF SOURCES FROM WHICH THE CONTENT IS OBTAINED, AND THE INHERENT HAZARD OF ELECTRONIC DISTRIBUTION, THERE MAY BE DELAYS, OMISSIONS OR INACCURACIES IN THE CONTENT AND THE SERVICE.
YOU ACKNOWLEDGE THAT THE CONTENT AND THE SERVICE INCLUDES THE INFORMATION, VIEWS AND OPINIONS OF MAQUILAPORTAL’S AGENTS, SPONSORS, ADVERTISERS, DISTRIBUTORS, LICENSORS, MEMBERS AND THIRDPARTIES, WHOSE THOUGHTS, DATA, AND INFORMATION ARE DEEMED OF INTEREST ONLY AND ARE NOT INTENDED TO BE, NOR TO BE USED AS INVESTMENT, TAX, LEGAL OR BUSINESS ADVISE OF ANY KIND.
THE SERVICE AND THE CONTENT ARE PROVIDED "AS IS" AND WITHOUT ANY WARRANTIES. MAQUILAPORTAL, ITS AGENTS, DISTRIBUTORS, SPONSORS, ADVERTISERS AND LICENSORS CANNOT AND DO NOT WARRANT THE ACCURACY, COMPLETENESS, CURRENTNESS, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OF THE CONTENT OR SERVICE, NEITHER MAQUILAPORTAL NOR ANY OF ITS AGENTS, DISTRIBUTORS, SPONSORS, ADVERTISERS OR LICENSORS SHALL BE LIABLE TO YOU OR ANYONE ELSE FOR ANY LOSS OR INJURY CAUSED INWHOLE OR PART BY ITS NEGLIGENCE OR CONTINGENCIES BEYOUND ITS CONTROL IN PROCURING, COMPILING, INTERPRETING, EDITING, WRITING, REPORTING OR DELIVERING ANY PART OF THE CONTENT OR THE SERVICE. IN NO EVENT WILL MAQUILAPORTAL, ITS AGENTS, DISTRIBUTORS, SPONSORS, ADVERTISERS OR LICENSORS BE LIABLE TO YOU OR ANYONE ELSE FOR ANY DECISION MADE OR ACTION TAKEN BY YOU IN RELIANCE ON THE CONTENT OR THE SERVICE. MAQUILAPORTAL AND ITS AGENTS, DISTRIBUTORS, SPONSORS, ADVERTISERS AND LICENSORS SHALL NOT BE LIABLE TO YOU OR ANYONE ELSE FOR ANY DAMAGES OTHER THAN DIRECT DAMAGES (INCLUDING, WITHOUT LIMITATION, CONSEQUENTIAL, INCIDENTAL, SPECIAL AND SIMILAR DAMAGES) IN CONNECTION WITH THE CONTENT OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU AGREE THAT THE LIABILITY OF MAQUILAPORTAL, ITS AGENTS, DISTRIBUTORS, SPONSORS, ADVERTISERS AND LICENSORS, IF ANY, ARISING OUT OF ANY KIND OF LEGAL CLAIM (WHETHER IN CONTRACT, TORT OR OTHERWISE) IN ANY WAY CONNECTED WITH THE CONTENT AND THE SERVICE SHALL NOT EXCEED THE AGGREGATE AMOUNT PAID BY YOU TO MAQUILAPORTAL FOR USE OF THE CONTENT OR THE SERVICE IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH CLAIM.

ARBITRATION
The parties agree that this agreement and its interpretation shall be governed by the laws of Ciudad Juarez, State of Chihuahua, Mexico and renounce to any other jurisdiction for whatever reason. Any controversy, claim, dispute or disagreement of any nature whatsoever between the parties, and directly or indirectly arising out of or relating to any of the matters setforth herein, shall be submitted to and settled by arbitration in Ciudad Juarez, Chih., Mexico.

SUBSCRIPTION TERMINATION
Your subscription, and obligation to pay fees and charges incurred, will continue until terminated by MAQUILAPORTAL, or until MAQUILAPORTAL receives notice from you of your intention to terminate your subscription, MAQUILAPORTAL may discontinue the availability of certain parts of The Content within The Service, or their availability to you, at any time without notice. MAQUILAPORTAL may also terminate The Service at any time and without notice if you breach any of the obligations undertaken by you pursuant to this contract or to the law. Upon such termination, you agree to discontinue the use of The Service.

ENFORSABILITY
If any term in this Agreement is invalid or unenforceable under applicable law, the remaining terms in the Agreement shall remain and be deemed valid and enforceable under applicable law. If any change or amendment to this Agreement is declared invalid, the Agreement formed without such change or amendment shall remain and be deemed valid and enforceable.
If MAQUILAPORTAL and you have manually signed a paper version of a contract governing your use of The Service, the terms in that manually signed, paper document are not amended by the terms in this Subscription Agreement.
